Terms of Service

Naomi — the Ministry Reception Platform

Draft for review. This template must be reviewed by qualified counsel and completed with your legal entity, fees, and governing law before public launch. Bracketed items [like this] need your input.

Last updated: [DATE] · These Terms are between you and [LEGAL ENTITY / OWNER NAME] ("Naomi", "we", "us").

1. Acceptance

By using the Naomi website, console, or member portal (the "Service"), you agree to these Terms. If you use the Service on behalf of a church, you represent that you are authorized to bind that church.

2. What the Service is

Naomi provides phone reception, message- and prayer-taking, member care, teaching content, and related communication tools for churches and their members. Features may change over time.

3. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. We may suspend accounts that are misused or that create risk to others.

4. Churches and members

A church controls its own workspace, its members' records, and how it uses the Service with its people. If you are a member, your relationship for pastoral care is with your church; Naomi provides the tools the church uses to serve you.

5. Acceptable use

6. Automated assistance & call recording

The Service uses automated systems, including AI, to help handle calls and messages. Where a church enables phone answering, calls may be recorded, transcribed, and handled by an automated assistant, and callers may be notified accordingly. You are responsible for ensuring any recording or messaging you enable complies with the laws that apply to you and your callers (including consent requirements).

7. Not professional advice; not for emergencies

The Service is not an emergency service and is not monitored around the clock. If someone is in danger or crisis, call 911 (or your local emergency number) immediately. Automated responses may be inaccurate and are not legal, medical, financial, or mental-health advice.

8. Content and intellectual property

You retain rights to content you submit and grant us the license needed to operate the Service. Scripture text is drawn from public-domain translations, and study/commentary content is used under public-domain or open licenses. The Naomi name, software, and design are ours or our licensors'.

9. Fees

[Describe fees, billing terms, and refund policy, if any. If the Service is provided free during a pilot, state that here.]

10. Termination

You may stop using the Service at any time. We may suspend or end access for violations of these Terms or to protect the Service or others. On termination, we will make a church's data available for export for a reasonable period, then delete it.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that automated output will be accurate.

12. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, or consequential damages, or for lost data or profits. Our total liability for any claim is limited to [the amount you paid us in the 12 months before the claim / $100].

13. Indemnity

You agree to indemnify us against claims arising from your misuse of the Service or violation of these Terms or applicable law.

14. Governing law

These Terms are governed by the laws of [STATE/COUNTRY], without regard to conflict-of-laws rules. [Add venue / dispute resolution as advised.]

15. Changes

We may update these Terms; we will revise the "last updated" date and, for material changes, provide additional notice. Continued use means you accept the updated Terms.
